Freshworks to acquire Torii: what it means and how to switch

As of 18 October 2026, Freshworks has agreed to acquire Torii, but the deal has not closed. It is expected to close in Freshworks' fourth fiscal quarter of 2026. Until then, Torii says it operates as an independent company and that nothing changes for customers today, renewal terms included. What happens after closing (standalone product, pricing, roadmap, data hosting, support for customers who do not use Freshservice) has not been announced, so the useful move now is to get answers in writing and keep your options open before your renewal notice deadline.

Key takeaways

  • Freshworks signed a definitive agreement to acquire Torii on 12 October 2026 to extend Freshservice into software management and AI spend governance, without disclosing the price.
  • The Freshworks acquisition of Torii is expected to close in Freshworks' fourth fiscal quarter of 2026, subject to customary closing conditions.
  • Torii states that until closing, customers keep the same instance, integrations, workflows, support contacts, renewal terms and roadmap.
  • Standalone availability, pricing, data hosting and support for Torii customers who do not use Freshservice after closing had not been announced as of 18 October 2026.
  • Torii customers with a renewal in the next six months should check notice periods, change-of-control terms and data export rights now, so that staying or switching remains a real choice.

What happened: Freshworks agreed to acquire Torii

On 12 October 2026, Freshworks (NASDAQ: FRSH) announced that it had signed a definitive agreement to acquire Torii, the SaaS management platform founded in 2017. The stated goal is to extend Freshservice, Freshworks' IT service management (ITSM) product, into software management and AI spend governance (Freshworks press release on GlobeNewswire). The announcement does not disclose the price, and the acquisition is expected to close in Freshworks' fourth fiscal quarter of 2026, subject to customary closing conditions.

Both CEOs describe the logic in the same terms. Dennis Woodside, CEO and President of Freshworks: "Freshservice already gives IT one place to see everything they run. With Torii, that same view now extends to software and AI spend." Uri Haramati, CEO of Torii: "Extending that to software and AI means one less blind spot, not one more dashboard."

For context, the Freshworks release states that Torii was named a Leader in the 2026 Gartner Magic Quadrant for SaaS Management Platforms, which Torii describes as its third consecutive year in that position. The release names Hearst, Groupon and Koch among the companies that use Torii.

Here is what is confirmed and what is still open, based on the Freshworks release and on the announcement post Torii addressed to its customers, both published on 12 October 2026.

What changes for Torii customers?

In the short term, nothing changes. In its announcement post, Torii writes that between signing and closing it operates as an independent company, and tells customers: "Your instance, your integrations, your workflows, your support contacts and your renewal terms are exactly where they were yesterday." The same post adds that "the roadmap has not changed." In practice, a renewal before closing should follow your current terms; confirm it with your account manager.

After closing: what Torii has said, and what it has not

The open questions sit in the medium term. Torii's post says that over time, "the software and AI governance you bought from Torii will sit next to the service desk, the CMDB, and the asset management" that Freshservice customers already use. It also says that "once the deal closes, we'll share more about what we're building together." Nothing more specific has been published on packaging, pricing, support or data processing.

Three plausible scenarios (our reading, not an announcement)

Based on Freshworks' stated goal and Torii's own wording, we see three scenarios. None of them has been confirmed by either company.

  • Torii stays available as a standalone product, with deeper Freshservice integration added over time. Customers on another ITSM keep using it as today, while the roadmap leans increasingly toward Freshservice.
  • Torii capabilities move into Freshservice packaging, for example as a module or an add-on. Existing contracts run to term, and the renewal conversation shifts to Freshservice.
  • A mixed model: existing customers are supported on their current terms for a period, while new packaging applies to new deals and renewals.

Whatever the scenario, five areas deserve attention: packaging and pricing at renewal, roadmap priorities (especially integrations with ITSM tools other than Freshservice), the support model and your named contacts, the sub-processors listed in your data processing agreement (DPA), and where your data is hosted. In our reading, teams that already run Freshservice are the customers this combination is designed for, since it brings SaaS management into their ITSM vendor. Teams on ServiceNow, Jira Service Management or another ITSM have more open questions.

Should you stay, renegotiate or switch?

The answer depends on three things: the ITSM you run, your data residency requirements, and how close your renewal is. An acquisition is not a problem in itself, and many Torii customers will reasonably stay, especially those already on Freshservice. Others will want leverage at renewal, or a tested alternative before post-closing details are known. The table below maps common situations to a starting position.

Stay, renegotiate or switch: a starting position

Your situationRecommended optionWhy
Already on FreshserviceStay, and use the renewal to negotiateThe deal is designed to extend Freshservice, so you are the customer it targets. Ask for pricing and roadmap commitments in writing.
On another ITSM, such as ServiceNow or Jira Service ManagementRenegotiate for flexibility and evaluate alternativesNothing has been announced for customers outside Freshservice. A shorter term keeps your options open.
EU data hosting requirementEvaluate an EU-hosted alternative nowTorii's security page states hosting on AWS and GDPR adherence, without naming an EU hosting region (checked on 18 October 2026). Post-closing hosting has not been announced.
Renewal in less than 6 monthsSecure flexibility and run a parallel evaluationYou may have to commit before post-closing details are known. A short renewal or an exit option limits the risk.
Need for IAM and access reviewsCompare scope and total costTorii's pricing page lists an IGA offer next to its SMP and AI Management offers. Compare it with platforms that combine SaaS management and IAM in one product.
Renewal more than 12 months away, no specific constraintStay and monitorYou have time to wait for post-closing announcements and decide with full information.

If the table points you toward switching, start from evaluation criteria rather than vendor names. Our 2026 guide to choosing a SaaS management platform lists the criteria that matter for mid-sized IT teams, and this overview of 15 SaaS management solutions for mid-sized companies helps you build a shortlist.

What should you check in your Torii contract?

Pull your order form, master agreement and DPA, and review eight points before your next renewal conversation. How each clause applies to your situation is a question for your legal team: the list below is a checklist, not legal advice. For each point, put the question to your Torii account manager and ask for the answer in writing.

  • Change of control and assignment. Some agreements address what happens when the vendor is acquired or assigns the contract to another entity. Question to ask your account manager: "Will our agreement be assigned to a Freshworks entity after closing, and does the acquisition trigger any provision in our contract?"
  • Renewal date and termination notice. The real deadline is not the renewal date but the last day to send a non-renewal notice, in the format the contract requires. Our guide to SaaS vendor renewal management explains how to track these dates. Question to ask your account manager: "What is our exact renewal date, and what are the deadline and format for a non-renewal notice?"
  • Price protection. Check whether your agreement caps price increases at renewal or locks your current plan. Question to ask your account manager: "Will our current price and plan be honored at the next renewal, and will you confirm it in writing?"
  • Data export. Your application inventory, licenses, contracts, owners, renewal dates and workflow configurations are what make a switch possible. Question to ask your account manager: "Which data can we export, in which formats, and how long do we keep access after termination?"
  • DPA and sub-processor list. Check how you are notified when a new sub-processor is added and whether you can object. Question to ask your account manager: "Will Freshworks entities be added as sub-processors, and how will we be notified?"
  • Data location. Confirm where your data is stored today, especially if your security policy or customers require EU hosting. Question to ask your account manager: "In which region is our data hosted, and is any change planned after closing?"
  • SLA and support. Service levels and escalation paths are what you rely on while two companies integrate. Question to ask your account manager: "Do our SLA, support channels and named contacts stay the same after closing?"
  • Product continuity. A written commitment protects you against a product change during your contract term. Question to ask your account manager: "Can you commit in writing to maintaining Torii and our current integrations for the full term of our contract?"

If the answers leave gaps on data location, roadmap or renewal timing, the cheapest moment to evaluate an alternative is before your notice deadline, not after it. You can book a Corma demo to see what a switch would involve for your own stack.

Migration checklist: how to switch from Torii without a gap

A switch without a gap means your new platform is connected, checked against your Torii data and running your workflows before your Torii renewal date. Two risks need to be avoided: a period with no visibility over apps and licenses, and a missed notice deadline that renews your contract by default. Work backwards from your notice deadline and follow five phases.

  1. Inventory and export. Export everything you rely on in Torii: the application inventory, licenses and seat counts, contracts and renewal dates, app owners, user access per app, and the workflows you automated (onboarding, offboarding, renewal reminders). Keep a dated copy, because it becomes your reference during the parallel run.
  2. Choose and connect the new platform through your identity provider. Connect your IdP first (Google Workspace, Microsoft Entra ID, Okta or JumpCloud), then your finance and HR sources. Rebuild your automated provisioning and onboarding workflows on the new platform before you switch anything off.
  3. Run both platforms in parallel. Compare the apps discovered by the new platform with your Torii export, reconcile spend and owners, and test each workflow on real joiners and leavers. Investigate every difference instead of assuming one tool is right.
  4. Cut over before the renewal date. Send your non-renewal notice in the format your contract requires, move app owners and renewal reminders to the new platform, and tell stakeholders which tool is now the source of truth.
  5. Decommission. Disconnect Torii integrations, revoke its API tokens and OAuth grants, remove its browser extension, archive your final export, and ask for written confirmation of data deletion under your DPA.

Give phases 1 and 3 enough time. The export decides what you can rebuild, and the parallel run is what keeps you from losing sight of an app, a license or an offboarding step during the switch.

Why Corma for former Torii customers?

Corma is a European SaaS management and IAM platform, founded in Paris in 2023, that combines software visibility, spend control and identity governance in one independent product. For Torii customers who re-evaluate their options after the Freshworks announcement, four points are worth comparing.

  • Independence and recognition. Corma is an independent vendor, recognized in the Gartner Magic Quadrant for SaaS Management Platforms in 2025 and again in 2026.
  • EU data hosting on every plan. Customer data is hosted in the EU on all plans, and Corma is ISO/IEC 27001:2022 certified.
  • SaaS management and IAM in one platform. SaaS management (discovery, licenses, renewals, spend) and automated identity governance (provisioning, access reviews) work from the same data, with native connectors for Google Workspace, Microsoft Entra ID, Okta and JumpCloud.
  • Public pricing and a fast start. A free plan covers up to 10 apps, and the Essential plan starts at €3 per user per month on an annual commitment (Corma pricing). Go-live usually takes less than a month, and Corma's stated objective is a reduction of SaaS costs of up to 30%.

FAQ: Torii and the Freshworks acquisition

Is Torii being shut down?

No shutdown has been announced. As of 18 October 2026, Torii says it operates as an independent company until the deal closes and that its roadmap has not changed. Freshworks and Torii have not announced what the product will look like after closing.

When does the Freshworks acquisition of Torii close?

Freshworks expects the acquisition to close in its fourth fiscal quarter of 2026, subject to customary closing conditions. No more precise date has been announced, and the deal had not closed as of 18 October 2026.

Do I need Freshservice to keep using Torii?

Not today. Torii states that customers keep their instance, integrations and workflows unchanged until closing. Whether Torii will require Freshservice after closing has not been announced, so ask your account manager for a written answer.

Can I exit my Torii contract after the acquisition?

It depends on your agreement. Review the change-of-control, assignment, renewal and termination clauses with your legal team. The announcement does not mention changes to existing contracts, and Torii says renewal terms stay as they are until closing.

Will Torii pricing change after the acquisition?

No pricing change has been announced. Torii sells on a tailored quote and says renewal terms are unchanged until closing. Ask for your current price and plan to be confirmed in writing for your next renewal.

How long does a migration from Torii take?

It depends on the number of apps, integrations and workflows you run. Plan an overlap period so that the new platform is live and checked before your Torii notice deadline. With Corma, go-live usually takes less than a month.

What are the best Torii alternatives?

The right alternative depends on your ITSM, your identity provider and your data residency needs. For teams that want an independent, EU-hosted platform covering both SaaS management and IAM, Corma is one option, and our breakdown of Corma as a Torii alternative details the differences.

The bottom line

The Freshworks agreement to acquire Torii does not change your contract or your instance today, and the combination may suit teams that already run Freshservice. What it changes is how much certainty you have about your next renewal. Use the period before closing to get written answers on pricing, roadmap, data hosting and continuity, and to line up an alternative you have actually tested. If you want to see an independent, EU-hosted platform for SaaS management and IAM running on your own stack, request a Corma demo.
